Terms and Conditions

Introduction

1.1 These terms and conditions (“Terms”) govern the relationship between CityPrime Limited (“Company,” “we,” “us,” or “our”) and the client (“you” or “your”). By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1.2 The Company reserves the right to amend these Terms at any time. Any such amendments will be effective upon being posted on our website. Your continued use of our services after any amendments constitutes your acceptance of the updated Terms.

Services

2.1 CityPrime Limited provides a range of maintenance, repair, and improvement services, including but not limited to plumbing, electrical work, painting, carpentry, and cleaning (“Services”). The scope of work for each project will be agreed upon in writing prior to the commencement of work.

2.2 All Services provided are subject to availability. The Company reserves the right to refuse Service to any client without explanation.

2.3 The Company will make every effort to complete the Services within the estimated timeframe. However, we will not be liable for any delays caused by factors outside our control, including but not limited to inclement weather, supply chain disruptions, or unforeseen technical issues.

Quotations and Pricing

3.1 All quotations provided by CityPrime Limited are valid for a period of 30 days from the date of issue unless otherwise stated.

3.2 The price for the Services will be as set out in the quotation. Any additional work not included in the original quotation will be charged at the applicable rates, and a revised quotation will be provided.

3.3 All prices are exclusive of VAT unless otherwise stated. VAT will be added to the total amount payable at the prevailing rate.

3.4 The Company reserves the right to adjust pricing in the event of significant changes in the cost of materials, labor, or other relevant factors. Any such adjustments will be communicated to you in writing.

Payment Terms

4.1 Payment for Services is due as outlined in the quotation. The Company may require a deposit before commencing work, with the balance due upon completion of the Services.

4.2 Payments can be made via bank transfer, credit/debit card, or any other method agreed upon in writing. All payments must be made in GBP.

4.3 Late payments may incur interest at the rate of 8% per annum above the Bank of England base rate, calculated on a daily basis from the due date until the payment is received.

4.4 The Company reserves the right to suspend or terminate Services if payments are not received in accordance with these Terms.

Client Obligations

5.1 You agree to provide access to the property and any necessary facilities, utilities, and information required for the completion of the Services.

5.2 You must ensure that the work area is free of any hazards or obstructions before the commencement of the Services.

5.3 Any alterations, additional work, or deviations from the agreed scope of work must be requested in writing and may result in additional charges.

5.4 You are responsible for obtaining any necessary permits, consents, or approvals required for the Services, unless otherwise agreed in writing.

Warranties and Liability

6.1 CityPrime Limited warrants that the Services will be performed with reasonable skill and care in accordance with industry standards.

6.2 If any defects in workmanship are identified within 12 months of completion, the Company will, at its discretion, repair or replace the defective work at no additional cost to you, provided that you notify us in writing within 14 days of discovering the defect.

6.3 The Company’s liability for any claim arising out of or in connection with the Services shall be limited to the price paid for the relevant Services. The Company shall not be liable for any indirect, special, or consequential losses, including but not limited to loss of profit, loss of business, or loss of goodwill.

6.4 Nothing in these Terms excludes or limits the Company’s liability for death or personal injury caused by our negligence, or for any other liability which cannot be excluded or limited under applicable law.

Termination

7.1 Either party may terminate the agreement for Services by providing 14 days’ written notice to the other party. In the event of termination, you will be liable for payment for any work completed up to the date of termination.

7.2 The Company reserves the right to terminate the agreement immediately if you breach any of these Terms or if it becomes evident that the work cannot be completed for reasons beyond our control.

7.3 Upon termination, any deposits or advance payments made by you may be retained by the Company as compensation for any costs incurred.

Force Majeure

8.1 The Company shall not be liable for any delay or failure to perform the Services as a result of any event beyond our reasonable control, including but not limited to acts of God, war, civil unrest, strikes, lockouts, industrial action, natural disasters, or governmental actions.

8.2 In the event of a force majeure, the Company will notify you as soon as practicable and take reasonable steps to mitigate the impact on the Services.

Intellectual Property

9.1 All intellectual property rights in any materials, designs, plans, or other documentation produced by the Company in connection with the Services shall remain the property of CityPrime Limited.

9.2 You are granted a non-exclusive, non-transferable license to use such materials solely for the purpose of utilizing the Services. You may not reproduce, distribute, or otherwise exploit the materials without the Company’s prior written consent.

Confidentiality

10.1 Both parties agree to keep confidential all information obtained from the other party in connection with the Services, except as required by law or as necessary to perform the Services.

10.2 The obligation of confidentiality shall continue after the termination of the agreement for Services.

Dispute Resolution

11.1 Any disputes arising out of or in connection with these Terms shall be referred to mediation in accordance with the Centre for Effective Dispute Resolution (CEDR) Model Mediation Procedure. If the dispute is not resolved within 30 days of the start of mediation, either party may commence legal proceedings.

11.2 These Terms shall be governed by and construed in accordance with the laws of England and Wales. The parties agree that the courts of England and Wales shall have exclusive jurisdiction to settle any disputes.

Miscellaneous

12.1 These Terms constitute the entire agreement between the parties and supersede any prior agreements, understandings, or representations.

12.2 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 The failure of either party to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.

12.4 You may not assign or transfer any rights or obligations under these Terms without the prior written consent of the Company.

12.5 Any notices required under these Terms shall be in writing and delivered by hand, email, or recorded delivery to the address provided by the other party.

By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
